NANO Nuclear Energy Secures $400M in Oversubscribed Placement

NANO Nuclear Energy Inc. (NASDAQ: NNE) has successfully secured $400 million in gross proceeds from an oversubscribed private placement of its common stock, a move indicating robust confidence from institutional investors. The offering was reportedly led by a prominent asset manager, underscoring Wall Street’s growing interest in advanced nuclear technology.

The deal involves the sale of 8,490,767 shares of common stock to a select group of institutional investors. , the closing of the placement is expected around October 10, 2025, and will boost the company's pro-forma cash position to approximately $600 million.

This significant capital injection is earmarked to accelerate the development and commercialization of the company’s key projects. A substantial portion of the net proceeds will fund the advancement of its flagship stationary micro nuclear reactor, the 'KRONOS MMR™' Energy System, including its construction and regulatory licensing efforts. The funds will also support the company’s broader portfolio of microreactor technologies and other strategic initiatives.

NANO Nuclear aims to become a vertically integrated leader in the advanced nuclear sector. This integrated approach is designed to de-risk its supply chain and capture value across the nuclear energy lifecycle.

The financing comes as NANO Nuclear continues to build operational momentum. The company recently announced plans to build a new manufacturing and R&D facility in Illinois, a project supported by state incentives. This new hub is expected to become a center for nuclear engineering and component manufacturing, supporting the company's ambitious growth plans. This capital raise provides the necessary fuel to advance these projects, with NANO Nuclear targeting the submission of a construction permit application to the U.S. Nuclear Regulatory Commission (NRC) by late 2025 or early 2026.
