Air Lease to be Acquired by Sumitomo-led Group for $28.2 Billion

All-cash deal values the aircraft lessor at $65.00 per share, a significant premium for stockholders, creating a global leasing powerhouse.

Air Lease Corporation (NYSE: AL), a prominent global aircraft lessor, has entered into a definitive agreement to be taken private by a consortium of investors including Sumitomo Corporation, SMBC Aviation Capital, Apollo, and Brookfield. The all-cash transaction values the company at approximately $28.2 billion, including the assumption of debt.

Under the terms of the deal, , representing a total equity valuation of about $7.4 billion. This price marks a 14% premium over the company's 30-day volume-weighted average share price and a 7% premium over its all-time high closing price recorded on August 28, 2025.

“Since founding Air Lease in 2010, we have been unwavering in our mission to shape the future of the aviation industry,” said Steven Udvar-Hazy, Chairman of the Board of Air Lease. “After thoughtful consideration, the Board has unanimously determined that this transaction represents the best path forward for our company as it will deliver an immediate premium and certainty in cash value to our Class A common stockholders.”

The acquisition is a landmark transaction for the aircraft leasing sector. The combination aims to create one of the largest global lessors, with a strong focus on a portfolio of new technology aircraft. According to a , Air Lease will be renamed Sumisho Air Lease Corporation upon closing. The new entity's aircraft orderbook is expected to be transferred to SMBC Aviation Capital, which will also service the existing portfolio.

John L. Plueger, Chief Executive Officer and President of Air Lease, called the deal an “exciting next chapter” and a “testament to the strength of Air Lease’s business.” The transaction has been unanimously approved by the Air Lease Board of Directors.

The deal is subject to customary closing conditions, including approval by Air Lease stockholders and regulatory bodies. It is expected to be finalized in the first half of 2026. In light of the pending acquisition, Air Lease announced it will no longer host quarterly earnings conference calls.
